Overview of Contract Language

Contract language is the content of a contract.

Definition

The contract language consists of clauses, terms, lines, line definitions and the formatting, and any pre-execution attachments. You can modify the language only when the contract is in the Draft or In Negotiation status.

Modifying contract language

Users with appropriate permissions can modify the language in the Word Editor. Internal and external users can collaborate with their party users for modifying the language, and also negotiate with the other party.

When the contract is in negotiation, the language can be fully negotiable, or negotiable on the clause level with the external party. Depending on the settings, the external party may not be allowed to negotiate the language, and can either accept or reject the language.

A contract language can be created from either of the following sources:

  • Contract template
  • Attached file

Language view

The language view of an authored or received contract or amendment displays the dynamic contract language. The language of a contract can be modified according to its negotiability and permissions of its users until the contract is executed or withdrawn. The language can also be viewed in a Word document.

The language view is visible only for authored or received contracts and amendments. Other types of contracts have a language attachment. Filed contracts or quotes that are amended can also have a language view.

After a contract is executed, the language view cannot be modified except by an amendment.
